These Terms and Conditions ("Terms") govern your access to and use of Roux (the "Service"), operated by Roux LLC ("we," "us," or "our"), available at https://rouxcost.com and https://app.rouxcost.com.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Use of the Service

You must be at least 18 years of age to use the Service. By using the Service you represent that you are 18 or older and have the legal capacity to enter into these Terms.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit harmful, offensive, or misleading content
  • Share your account credentials with any third party

2. Accounts

To access the Service you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@rouxcost.com if you suspect any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

    3. Subscription and Billing

    Roux is offered on a subscription basis. By subscribing you agree to pay the applicable fees as described at the time of purchase.

    • Free Trial: New users may access the Service free of charge for a 3-day trial period. No payment information is required during the trial. At the end of the trial period you must subscribe to continue using the Service. 
    • Billing: Subscriptions are billed on a monthly basis. Fees are charged at the beginning of each billing period.
    • Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.
    • Refunds: All subscription fees are non-refundable.
    • Failed Payments: If a payment fails, Stripe will make one additional attempt to process the charge 3 days later. If that attempt also fails, your subscription will be automatically cancelled and your access to the Service will be suspended. To regain access you will need to subscribe again. It is your responsibility to ensure your payment information is current and valid.
    • Price Changes: We reserve the right to change subscription pricing at any time. We will provide at least 30 days notice of any price changes. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
    • Payment Processing: All payments are processed by Stripe. By subscribing you agree to Stripe's Terms of Service available at https://stripe.com/legal.

    4. Your Data

    You retain full ownership of all data you create within the Service, including recipes, ingredient costs, pricing information, and scenario data. We do not claim any ownership rights over your data.

    We will not share, sell, or use your recipe or business data for any purpose other than providing the Service to you. For more information on how we handle your data please review our Privacy Policy at https://rouxcost.com/privacy-policy.

    Upon account deletion all of your data will be permanently removed from our servers. This action cannot be undone.

    5. Intellectual Property

    The Service and its original content, features, and functionality are and will remain the exclusive property of Roux LLC. The Roux name, logo, and all related marks are trademarks of Roux LLC. You may not use our trademarks without our prior written consent.

    You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or business purposes in accordance with these Terms.

      6. Disclaimer of Warranties

      The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

      The financial calculations and outputs provided by the Service are for informational purposes only. Roux LLC makes no representations or warranties regarding the accuracy, completeness, or fitness for a particular purpose of any calculations, recommendations, or outputs generated by the Service. You are solely responsible for any business decisions you make based on information provided by the Service.

        7. Limitation of Liability

        To the fullest extent permitted by applicable law, Roux LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

        Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve months preceding the claim.

            8. Indemnification

            You agree to indemnify, defend, and hold harmless Roux LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

                9. Termination

                We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination your right to use the Service will immediately cease.

                You may terminate your account at any time by deleting your account from your Profile Settings within the app or by contacting us at info@rouxcost.com.

                    10. Governing Law

                    These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Michigan.

                        11. Changes to these Terms

                        We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
